These Terms of Service (Terms) govern your access to and use of the ReputationSentry platform, website (reputationsentry.co.uk), and associated services, including our AI-powered reputation management tools, review collection systems, and reputation intelligence reports (collectively, the Services).

By creating an account, purchasing a subscription, or using our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Services

ReputationSentry provides a Software-as-a-Service (SaaS) platform designed to help local businesses manage their online reputation. Our Services include:

  • Automated review collection through QR codes, NFC tags, SMS, email, and WhatsApp.

  • Intelligent feedback routing and AI-generated review responses.

  • Review velocity tracking and competitor benchmarking.

  • AI Search Visibility monitoring (including tracking mentions across platforms like ChatGPT, Gemini, and Perplexity).

  • Integration with over 67 third-party review sources.

  • The AI Hub for live data analysis and Sentry Briefings reporting.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including features and functionality, subject to providing reasonable notice for material changes to paid subscribers.

3. Account Registration and Security

3.1. To access the Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process.3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.3.3. You must notify us immediately of any unauthorised use of your account or any other breach of security.3.4. Users must be at least 18 years of age to use the Services.

4. Subscription Fees and Payment

4.1. Fees: Access to certain features of the Services requires a paid subscription. Fees are billed in advance on a monthly or annual basis as specified during the sign-up process.4.2. Payment Processing: Payments are processed via Stripe. By providing payment information, you authorise us (through Stripe) to charge the applicable fees to your designated payment method.4.3. Taxes: All fees are exclusive of VAT and other applicable taxes unless otherwise stated.4.4. Non-Payment: Failure to pay subscription fees may result in the suspension or termination of your access to the Services.4.5. Refunds: Billing and refunds are governed by our Refund Policy. Paid subscriptions are generally non-refundable for the remainder of the billing period once the 30-day free trial has concluded.

5. Proper Use and Review Platform Compliance

5.1. Compliance with Third-Party Terms: Our Services integrate with third-party platforms (e.g., Google Business Profile, Facebook, Trustpilot, Yelp). You agree to comply with the terms of service and content guidelines of all such platforms.5.2. Prohibited Activities: You agree not to use the Services to:

  • Solicit or post fake or fraudulent reviews.

  • Engage in review gating that violates the specific policies of platforms like Google (e.g., preventing negative feedback from reaching the platform while only encouraging positive reviews).

  • Offer incentives (money, gifts, or discounts) in exchange for reviews where prohibited by law or platform guidelines.

  • Harass or spam customers via SMS, Email, or WhatsApp.5.3. AI Content: While our AI generates suggested responses to reviews, you are responsible for reviewing and approving such content. We are not liable for the accuracy or appropriateness of AI-generated responses published to third-party sites.

6. Intellectual Property Rights

6.1. Ownership: ReputationSentry and its licensors own all intellectual property rights in the platform, software, algorithms, AI models, and branding.6.2. Limited Licence: We grant you a non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes during your subscription term.6.3. User Content: You retain ownership of the data and content you upload to the platform. You grant us a worldwide, royalty-free licence to use, host, and process this data solely for the purpose of providing and improving the Services.

7. AI Search Visibility and Data Accuracy

7.1. Projections: Our Services provide tracking for review velocity and AI Search Visibility (e.g., ChatGPT, Gemini). These metrics are based on industry research and platform aggregates.7.2. No Guarantees: We do not guarantee specific ranking improvements, revenue gains, or that your business will be recommended by third-party AI models. Performance depends on factors outside our control, including third-party algorithm updates.

8. Limitation of Liability

8.1. To the maximum extent permitted by law, Eden22 Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.8.2. Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to us for the Services in the twelve (12) months preceding the event giving rise to the claim.8.3. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

9. Indemnity

You agree to indemnify and hold harmless Eden22 Ltd and its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your breach of these Terms, your use of the Services, or your violation of any third-party rights or applicable laws.

10. Termination

10.1. You may cancel your subscription at any time through your account dashboard.10.2. We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or if we are required to do so by law.10.3. Upon termination, your right to use the Services will cease immediately, and we may delete your data in accordance with our Privacy Policy.

11. Governing Law and Jurisdiction

These Terms are governed by the law of England and Wales. Disputes require good faith discussions. If unresolved within 60 days, both parties submit to the exclusive jurisdiction of the courts of England and Wales.
