3. Free access

3.1

Free services end upon the earliest of:

• Free period completion
• Purchase of the Service
• Termination by ReputationSentry

Terms apply to trial periods. Additional trial terms may be notified and incorporated by reference.

4. Service fees

Services require payment of Fees, notified through the Platform.

4.2

Fees must be paid by their due date. Non-payment may result in account suspension or service termination.

4.3

Fees may change at ReputationSentry's discretion with reasonable advance written notice. Continued use means acceptance of new Fees.

4.4

You are responsible for applicable taxes, including goods and services tax.

4.5

Payment uses specified methods. You accept applicable third-party payment agreements. ReputationSentry is not liable for payment failures and may modify payment methods without notice.

4.6

Full payment must arrive in immediately available and freely transferable funds, without any restriction, condition, withholding, deduction, set-off or counterclaim whatsoever.

5. Uploading content to our Platform

5.1

You represent and warrant that uploaded content complies with the Privacy Policy, Acceptable Use Policy, applicable data protection law <span style="color: red">[Insert Abbreviation]</span>, GDPR, and other applicable laws.

5.2

You are fully responsible for uploaded content. ReputationSentry is not responsible for content accuracy or data loss. Keep your own records.

6. Acceptable use policy

• Transmitting viruses, malware, or harmful code

You agree not to:

Except as expressly permitted, you must not:

• Disassemble, decompile, reverse-engineer, or create derivative works
• Provide Platform access without prior written consent
• Remove copyright notices on copies
• Violate technology control or export laws
• Disrupt services through hacking, cyber-attacks, tampering, or reprogramming
• Engage in abuse, insults, threats, or cyber-bullying toward service users or staff. ReputationSentry operates a zero-tolerance policy and may exclude persistent violators.

7. Intellectual property rights

7.1

All Platform intellectual property rights belong to ReputationSentry. Rights are licensed, not sold. You have only usage rights as permitted.

7.2

Your uploaded content intellectual property remains yours. You grant ReputationSentry a royalty-free and non-exclusive licence for service performance, promotion, administration, and service improvement.

7.3

You have no right to source code access.

7.4

You cannot modify printed or downloaded materials except for internal business distribution, and cannot use illustrations, photographs, video, audio, or graphics separately from text.

7.5

You cannot use Platform content for commercial purposes without a licence from ReputationSentry or licensors.

7.6

Breach results in immediate usage rights termination and required return or destruction of copies.

8. Warranties

8.1

ReputationSentry provides services on an "as is" and "as available" basis. No warranties are made unless specified in writing.

8.2

ReputationSentry disclaims all warranties regarding the Platform or Services, including merchantability and fitness for particular purposes. No guarantee exists that services are virus-free.

8.3

Platform use is at your sole risk. ReputationSentry and third-party providers are not responsible for losses from access or use, including computer or data damage.

9. Technical requirements and responsibility

Users are responsible for meeting technical requirements.

9.2

This includes hardware, operating system, internet connection, firewall settings, and browser software.

Users must make necessary adjustments and bear internet connection costs.

ReputationSentry does not guarantee service compatibility with user devices.

10. Third-party content and services within the Services

Third-party services have additional terms. Disagreement means you cannot use related services.

ReputationSentry is not responsible for third-party service accuracy, including descriptions or pricing.

ReputationSentry is not responsible for information accuracy within third-party services.

11. Limitation of liability

ReputationSentry is not liable for content completeness, accuracy, or correctness. Use is at your sole risk.

11.2

Subject to the prohibited uses, ReputationSentry has no liability for loss of profits, sales, business, revenue, business interruption, anticipated savings, data corruption, business opportunity, goodwill, reputation, or indirect/consequential damages.

11.3

Liability limitations do not apply to death, personal injury from negligence, fraud, or matters where applicable law prohibits liability exclusion.

11.4

These Terms set out full obligations and liabilities. Implied conditions, warranties, or representations are excluded to the fullest extent permitted by law.

12. Indemnity

You indemnify and hold ReputationSentry, related corporations, and their directors, officers, employees, agents, representatives, contractors, licensees, successors, and assigns harmless from claims, losses, expenses, damages, costs (including direct, incidental, consequential, exemplary, and indirect damages), and legal fees arising from your acts, defaults, omissions, Platform use, services use, breach, or law violations.

13. Other important terms

13.1

ReputationSentry may transfer its rights and obligations without affecting yours.

13.2

You cannot transfer rights or obligations without written ReputationSentry agreement.

13.3

No joint venture, partnership, agency, or employment relationship is created.

13.4

These Terms constitute the entire agreement and supersede previous agreements, warranties, and representations. You have no remedies for statements not in these Terms, and no claims for innocent or negligent misrepresentation.

13.5

Failure to enforce rights does not waive them. Waiver only occurs in writing and does not waive future defaults.

13.6

Each condition operates separately. If any are unlawful or unenforceable, remaining conditions remain in full effect.

Governing law and dispute resolution
